Vitruvius Resources is working closely with a governance and company secretarial consultancy who operate in both public and private sectors across multiple industries. As part of an exciting period of growth, they have an opportunity for an intermediate/senior level governance consultant. The role is client facing, with day-to-day responsibility for outsourced corporate governance and company secretarial support.
The responsibilities with this role will cross both the listed and private sector, supporting organisations of all sizes providing governance consultancy services and sometimes acting as Company Secretary, and/or supporting in-house directors, legal counsel, and company secretaries. It anticipates a level of autonomy and independence as well as generally supporting client relationships within the business.
General Governance consultancy support may include some of the following tasks;
* Board and committee meeting management
* Drafting of standard systems, procedures, processes, and checklists
* Management of issued share capital and drafting of routine stock exchange announcements
* Administration of company share plans, managing share portals and share option administration
* Supporting with project and event management of general meetings of members and shareholders including preparation of associated documentation
* Project support to help with post-acquisition integration
* Maintaining accurate records including company secretarial software
* Governance for subsidiary companies
* Governance support on corporate transactions
* Overseeing company incorporations and early set-up requirements
The successful candidate will have governance experience across both the listed and private sectors. Able to work in a well organised, systematic way, you will ideally have some company secretarial experience with a good understanding of UK and/or international regulatory and governance requirements for Committees. You should be proactive and able to identify opportunities for improvement with the confidence to challenge information as required. You should also work with excellent attention to detail and accuracy together with strong organisational, analytical and documentation skills.
An excellent command of written and spoken English is required with effective communication, networking and interpersonal skills. Advanced computer skills including PowerPoint, Word, Excel and Outlook are also required.
